TERMS OF SERVICE

Biosonics Mastery, LLC
Effective Date: August 31, 2025

These Terms of Service (the “Agreement”) govern access to and participation in online courses, workshops, programs, and community offerings (collectively, the “Courses”) provided by Biosonics Mastery, LLC. (“BioSonics Mastery,” “we,” “our,” or “us”). By registering, paying for, or attending any Course, each participant (“Participant,” “you,” or “your”) agrees to be legally bound by this Agreement.

1. Eligibility and Registration

1.1 You must be at least eighteen (18) years of age to register for any Course, or you must have verifiable parental or guardian consent.
1.2 By registering, you represent and warrant that all information you provide is accurate and complete.
1.3 Accounts and access credentials are personal, non-transferable, and may not be shared or used by any third party.

2. License and Permitted Use

2.1 Subject to the terms herein, BioSonics Mastery grants you a limited, revocable, non-exclusive, non-transferable license to access Course materials solely for your own personal educational use.
2.2 You may not copy, reproduce, distribute, display, perform, publish, modify, create derivative works, resell, or otherwise exploit any Course content.
2.3 You may not engage in reverse engineering, data scraping, automated access, or the use of Course content to train artificial intelligence systems.

3. Payments and Refunds

3.1 Full payment is required at the time of registration. Payments are processed through third-party vendors, and BioSonics Mastery is not responsible for the acts or omissions of such vendors.
3.2 Refunds are governed by the following policies:
(a) On-Demand Courses are non-refundable once access is granted.
(b) Live Online Workshops are refundable up to seven (7) days prior to the scheduled start date. Thereafter, all sales are final.
(c) In-Person Workshops are refundable up to fourteen (14) days prior to the scheduled start date. Thereafter, all sales are final.
(d) In the event Biosonics Mastery cancels a Course, you will be entitled to either a full refund or the option to transfer to another Course.
3.3 Refunds, when applicable, shall be issued to the original payment method, less any applicable transaction or processing fees.

4. Recordings and Replay Access

4.1 Courses may be recorded, including Participant video, audio, chat, and other contributions.
4.2 Unless otherwise stated in writing, replay access to Course recordings will be available for a period of one (1) year from the start date of the Course. After this period, access may be extended through a paid membership plan offered by BioSonics Mastery.
4.3 By attending a Course, you grant BioSonics Mastery an irrevocable, worldwide, royalty-free right to record, reproduce, distribute, display, and otherwise use your name, voice, likeness, and contributions in connection with the Courses without additional compensation.
4.4 For online participants: If you do not wish to appear in recordings, you must disable your camera and microphone and refrain from using interactive features.

5. Conduct and Community Standards

5.1 You agree to participate respectfully and in compliance with all applicable laws and community guidelines.
5.2 BioSonics Mastery reserves the right to suspend or permanently terminate access, without refund, for conduct deemed disruptive, abusive, unlawful, or otherwise harmful.

6. Technology Responsibility

6.1 You are solely responsible for ensuring that you have a functioning device, internet connection, and any required software.
6.2 BioSonics Mastery shall not be liable for interruptions or disruptions caused by Participant equipment, service providers, or third-party platforms.

7. Health and Medical Disclaimer

7.1 The Courses are for educational and wellness purposes only. They are not intended as, and shall not be construed as, medical advice or as a substitute for professional diagnosis, treatment, or care.
7.2 You acknowledge and agree that participation is voluntary and undertaken at your own risk. You are solely responsible for consulting with a physician or other qualified health provider regarding any questions about your health before applying Course content.

8. Intellectual Property

8.1 All Course content, including but not limited to recordings, materials, trademarks, and logos, are and shall remain the sole property of BioSonics Mastery or its licensors.
8.2 No ownership rights are transferred to Participants under this Agreement. Unauthorized use of Course content may result in termination of access and legal action.

9. Indemnification

You agree to indemnify, defend, and hold harmless BioSonics Mastery, its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, demands, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your participation in the Courses; (b) your violation of this Agreement; (c) your misuse of Course content; or (d) any violation of applicable law or third-party rights.

10. Limitation of Liability

10.1 To the fullest extent permitted by law, BioSonics Mastery shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, or business opportunities, even if BioSonics Mastery has been advised of the possibility of such damages.
10.2 BioSonics Mastery’s aggregate liability for any claim under this Agreement shall not exceed the total amount paid by you for the Course giving rise to the claim.
10.3 Nothing in this Agreement shall exclude liability for fraud, willful misconduct, or personal injury caused by gross negligence.

11. Termination and Survival

11.1 BioSonics Mastery may suspend or terminate your access at any time for breach of this Agreement.
11.2 Upon termination, you must immediately cease all use of Course content.
11.3 The provisions relating to Intellectual Property, Indemnification, Limitation of Liability, Governing Law, and other provisions intended to survive shall remain in full force and effect.

12. Force Majeure

BioSonics Mastery shall not be responsible for delays or failures in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, strikes, governmental actions, or failures of third-party services.

13. Dispute Resolution and Governing Law

13.1 Any dispute arising under this Agreement shall first be submitted to good faith mediation in New York, United States.
13.2 If mediation fails, such dispute shall be resolved exclusively in the state or federal courts located in New York.
13.3 This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.

14. Miscellaneous

14.1 Entire Agreement. This Agreement constitutes the entire agreement between you and BioSonics Mastery with respect to the Courses.
14.2 Modifications. BioSonics Mastery reserves the right to update or modify this Agreement at any time. Updates will be effective upon posting to our website. Your continued participation in the Courses after any such modifications constitutes acceptance of the revised Agreement.
14.3 Privacy. Personal information provided during registration is processed in accordance with our Privacy Policy, available at https://www.biosonicsmastery.com/privacy.
14.4 No Waiver. Failure to enforce any provision shall not constitute a waiver of that provision or any other provision.
14.5 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.6 Assignment. You may not assign or transfer your rights or obligations under this Agreement. BioSonics Mastery may assign this Agreement without restriction.
